Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and UsiaTech LLC (“we,” “us,” or “our”), the operator of WaypointCareer (the “Service”). By registering for or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

Effective date: April 23, 2026.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a contract to use the Service. By registering, you represent that you meet these requirements. The Service is intended for personal professional use; you may not use it on behalf of another person without their express authorisation.

3. What the Service does

WaypointCareer is a personal career-intelligence workspace. It lets you configure a set of job sources and AI providers, fetches job postings on your schedule, filters and deduplicates them, helps you manage a multi-stage application pipeline, stores resumes and per-job documents, tracks the time you spend on your search, and offers AI-assisted drafting of answers and interview preparation.

Feature availability is a snapshot in time. We may add, change, or retire features; we will use in-app notices or email for material changes to paid features.

4. Accounts & account security

One account per person. Do not share credentials.
Keep your password confidential. You are responsible for activity under your account, except where caused by our negligence.
Provide accurate registration information and keep it current.
Tell us immediately via the contact form if you suspect unauthorised access.

Sessions idle out after two hours. Cookies are HTTP-only; password-reset links expire in 30 minutes and are single-use.

5. Bring-your-own-key responsibilities

WaypointCareer is a bring-your-own-key platform. When you enable a job board, ATS aggregator, or AI provider, you configure WaypointCareer to call that provider under your own account.

You are responsible for complying with each provider's terms of service, acceptable-use policy, and rate-limit rules.
Any fees, charges, or overage billed by those providers are yours, not ours.
If a provider suspends your key, throttles you, or changes its API, the corresponding WaypointCareer feature will stop working until you resolve the issue with them. We are not a party to your contract with them.
You are responsible for what you submit to AI providers via the Service (your resume, job descriptions, and answers are transmitted to the provider you configured). Do not submit content you do not have the right to share.

We take reasonable care of your keys — they are encrypted at rest and redacted from logs — but you remain responsible for rotating keys you suspect have been exposed.

6. Your content

You retain ownership of everything you put into the Service — your resume, cover letters, notes, application Q&A, interview-prep answers, networking contacts, and documents (collectively, “Your Content”).

You grant WaypointCareer a limited, non-exclusive, royalty-free, worldwide licence to store, process, display, transmit, and back up Your Content solely to operate the Service for you — for example, to serve it back to you in the UI, include it in API calls you authorised by configuring a key, index it for search, and run integrity checks. This licence ends when you delete the content or your account (subject to the retention exceptions in our Privacy Policy).

We will never use Your Content to train any machine-learning model, and we will not share Your Content with third parties except as necessary to operate a feature you explicitly enabled (e.g. sending a prompt to your configured AI provider).

7. Acceptable use

You agree not to:

Use the Service to scrape, aggregate, or resell job postings or any other third-party data to anyone other than yourself.
Create accounts by automated means, or run more than one account per person.
Upload malware, exploit content, or files you do not have the rights to distribute.
Attempt to probe, scan, or circumvent the security of the Service, including tampering with authentication, per-user scoping, or rate-limits.
Impersonate another person or misrepresent your affiliation with any employer or recruiter.
Use the Service to send spam or unsolicited communications to networking contacts or anyone else.
Reverse-engineer, decompile, or create derivative works of the Service, except to the extent that applicable law overrides this restriction.

We may investigate and take action — including suspension or termination — against accounts that violate this section.

8. Plans, billing & cancellation

Plans

WaypointCareer offers a Free plan and a Pro plan. Current prices and limits are on the Pricing page. Admins may adjust published prices; we will not retroactively raise the price of an active subscription mid-cycle.

Free plan limits

4 public job sources, 3 search keywords, 1 location.
30-day job-posting retention — older postings are auto-deleted.
Monthly caps on AI tips and AI interview-prep sessions.
Daily fetch schedule; no custom cron; no CSV export.
Document attachment caps per job.

Default admin-tunable limits apply. The precise numbers are visible in Settings and on the Pricing page.

Pro plan & billing

Billed through Stripe. We never see or store your payment card details.
Billing cadences: monthly, quarterly, semi-annual, and annual. Longer terms carry larger discounts.
Subscriptions auto-renew at the end of each billing period at the then-current rate for the same cadence unless cancelled.
Price changes to auto-renewals will be communicated in advance via email.

Cancellation & refunds

Cancel at any time from Settings → Subscription → Manage subscription, which opens the Stripe customer portal. Your Pro access continues until the end of the paid period; at that point your plan drops back to Free and the 30-day retention cap resumes.

We do not offer prorated refunds for unused time on a billing period. If you were charged in error or believe a charge is materially incorrect, contact us and we will work with you to resolve it.

Taxes

Prices listed on the Pricing page are exclusive of any applicable sales, use, VAT, or similar taxes, which Stripe will add at checkout where required.

9. Third-party services & content

The Service integrates with third-party job boards, ATS feeds, AI providers, Stripe (payments), Google reCAPTCHA, and SMTP email delivery. Those services are operated by other companies under their own terms.

Job-posting content is produced by employers and aggregators. We do not verify salary ranges, titles, locations, or descriptions. Postings may be out-of-date by the time you read them.
AI output (drafts, tweaks, tips, summaries) is generated by third-party models you enabled. It can be incorrect, outdated, or misleading. Review and edit AI output before relying on or submitting it.
WaypointCareer is not a career, legal, tax, financial, immigration, or medical-advice service. Nothing in the Service is professional advice.

10. Intellectual property

WaypointCareer, including its software, design, trademarks, and original content, is owned by UsiaTech LLC and its licensors. We grant you a limited, non-exclusive, revocable, non-transferable licence to use the Service for your personal professional purposes during the term of your account.

All rights not expressly granted are reserved. You may not reproduce, distribute, modify, or create derivative works of the Service or its content except as these Terms permit.

11. Feedback

If you send us suggestions, feature requests, or feedback (“Feedback”), we may use it to improve the Service without obligation or compensation. You represent that any Feedback you provide is yours to share and does not violate anyone else's rights.

12. Suspension & termination

By you. You can stop using the Service and delete your account at any time from Settings. Cancelling a paid plan and deleting the account are separate actions — doing one does not automatically do the other.

By us. We may suspend or terminate your access (with or without notice, and with or without refund) if you materially breach these Terms, use the Service unlawfully, create risk for the platform or other users, or if a payment is reversed, refunded, or otherwise uncollectable. Where practical we will notify you first and give you a chance to cure.

Sections of these Terms that by their nature survive termination (e.g. intellectual property, disclaimers, limitation of liability, indemnification, governing law) will survive.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

We do not warrant that job postings surfaced by the Service are current, accurate, or complete; that any AI-generated content is accurate, safe, or suitable for any purpose; that any third-party provider will remain available; or that your configured keys will continue to work.

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions these exclusions apply to the maximum extent permitted by law.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER UsiaTech LLC NOR ITS MEMBERS, OFFICERS, EMPLOYEES, OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, JOB OPPORTUNITIES, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

These limits apply to the maximum extent permitted by law and are a basic element of the bargain between you and us.

15. Indemnification

You agree to indemnify and hold harmless UsiaTech LLC and its affiliates, officers, members, and employees from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of (a) your breach of these Terms, (b) Your Content, (c) your misuse of the Service, or (d) your violation of any applicable law or the rights of a third party — including the terms of any AI or job-board provider whose key you configured.

16. Governing law & disputes

These Terms are governed by the laws of the State of California and the applicable laws of the United States, without regard to conflict-of-laws principles. You and UsiaTech LLC agree to the exclusive personal jurisdiction of the state and federal courts located in California for any dispute not subject to binding arbitration (if any is later elected by the parties in writing).

Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

17. Changes to these Terms

We may update these Terms as the Service evolves. When we make material changes we will update the effective date at the top of this page and, for logged-in users, surface an in-app notice. Continued use of the Service after the effective date of the change constitutes acceptance. If you do not agree, stop using the Service and, if applicable, cancel your subscription and delete your account before the change takes effect.

18. Miscellaneous

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
Severability. If any provision is held unenforceable, the remaining provisions stay in effect.
Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate, successor, or in connection with a merger or sale of assets.
Headings. Section headings are for convenience only and do not affect interpretation.
